Terms of Use

These Terms of Use govern access to and use of all digital products, platforms, applications, websites, and related services (“Products” or “Services”) provided by BodhiVerse Pvt Ltd (“Company”, “we”, “us”, or “our”). By creating an account, selecting any option that indicates acceptance of these Terms, or by accessing or using any BodhiVerse Product or Service, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not accept these Terms, you may not access or use the Services.

General Information

Any personal information that you share with us while creating an account, using our Products, or communicating with us will be handled in accordance with our Privacy Policy. The Privacy Policy forms an integral part of these Terms and governs the collection, use, and protection of personal information across all BodhiVerse offerings.

Our Services are intended for individuals who are at least eighteen years of age. However, students below the age of eighteen may use the Services for educational or institutional purposes when such use is initiated, authorised, or supervised by their school, teacher, or institution. The Company does not knowingly collect personal information directly from individuals under eighteen except in connection with authorised educational use facilitated by an institution.

Use of the Services is permitted only if these Terms are accepted. Without such acceptance, the Company cannot provide access to any BodhiVerse Product or Service.

For the purpose of these Terms:

User” means any individual who accesses or uses any BodhiVerse Product or Service, whether as a student, instructor, administrator, employee, or in any other authorised capacity.

Products” means all applications, platforms, websites, digital systems, modules, and associated tools developed, owned, or operated by the Company.

Services” means all features, workflows, processes, integrations, authentication tools, analytics, or functionality provided through our Products.

User Material” means any content, data, information, responses, submissions, files, or material uploaded, created, submitted, or transmitted by the User through the Products.

You acknowledge that use of our Services may be subject to additional guidelines, product specific terms, or institutional agreements. In case of conflict, the institution’s agreement or applicable annexes will prevail.

User Account and Password

To access and use certain BodhiVerse Products or Services, you must create a user account and sign in using valid credentials. By creating an account, you confirm your acceptance of these Terms of Use. During registration, you may be required to provide personal information such as your name, email address, phone number, institutional affiliation, or other details necessary for the operation of our Services. This information will be processed in accordance with our Privacy Policy, which explains how personal data is collected, stored, and used.

You agree that all information provided during registration or any subsequent update will be accurate, current, and complete. The Company may verify the information you provide in order to confirm your eligibility to use the Services. Where required, you permit the Company to share account details, such as your name, email address and relevant associated data, with authorised representatives of your institution for verification or administrative purposes.

Your user account is personal to you and may not be transferred, assigned, or shared with any third party. You are solely responsible for maintaining the confidentiality of your username, password, and any other account credentials. You agree not to share your login details with any other individual, nor allow any other person to access or use your account. You are responsible for all activities conducted through your account, whether authorised by you or not.

If you believe that your account has been accessed without permission, or that your credentials have been compromised, you must notify the Company immediately. The Company may, at its discretion, disable, restrict, or suspend your account if unauthorized access is suspected, if account misuse is detected, if required by law, or if it is necessary to protect the security and integrity of the Services. The Company is not liable for any loss or damage arising from such suspension or from your failure to protect your account credentials.

You agree to indemnify and hold harmless the Company from any claims, losses, damages, penalties, or expenses arising from misuse of your account or from the Company’s decision to suspend or terminate access due to suspected or confirmed unauthorized use.

You may request closure or deletion of your user account at any time. Closing your account will not remove or delete any content, submissions, or materials that belong to your institution or that must be retained for legal, academic, or administrative purposes.

Using the Services

The Services provided by the company are intended to support authorised activities of educational institutions, enterprises, instructors, administrators, employees, and other Users. Students or minors may use certain Services only when such access is initiated, authorised, or supervised by their institution, teacher, or administrator.

Subject to these Terms of Use, the Company grants each User a limited, non exclusive, non transferable, revocable right to access and use the Services solely for their intended purposes and in accordance with all institutional, legal, and contractual requirements that apply to the User.

Once you have created an account, you may use the Services to create, upload, manage, or administer material such as assessments, attendance workflows, content modules, analytics configurations, or other authorised content or activities. All such material constitutes User Material and is subject to the terms outlined in the section titled Intellectual Property Rights and User Material.

Depending on the specific Product or workflow in use, you may configure settings, define what information participants must provide, enable or disable features, distribute access codes or links, monitor progress, review submissions, and perform administrative tasks permitted to your user role. Users may also download or export submissions, logs, or reports to locations outside the Products, provided such actions comply with institutional policies and applicable law.

Student Access and Institutional/ Instructor Responsibility
Students or minor users may access the Services only at the direction of an authorised institution or instructor. The Company processes student information solely to support authentication, identity verification, workflow integrity, secure assessment management, and to allow instructors or institutions to connect submissions with the correct participant. The Company does not use student information for its own independent purposes.

It is the sole responsibility of the educational institution or authorised instructor to ensure that all necessary notices, permissions, or consents (where required by law) are obtained from students or their legal guardians prior to allowing them to use the Services. The Company is not responsible for obtaining such consents and shall not be liable for any failure by an institution to comply with legal requirements regarding student data.

User Obligations
You agree to use the Services only for lawful purposes and only within the scope authorised by your institution or by the Company. You must not misuse the Services, interfere with their operation, attempt to bypass security controls, access another user’s information without permission, or engage in any conduct that compromises integrity, confidentiality, or system security.

The Company reserves the right to monitor use of the Services in order to ensure compliance with these Terms, maintain technical security, and protect the integrity of workflows.

Use of the Services in violation of these Terms, or in violation of institutional policies or applicable law, may result in suspension or termination of access.

Uploaded Material and Code of Conduct

You are solely responsible for all User Material that you upload, create, submit, or transmit through any BodhiVerse Product or Service. If students or other participants use the Services based on your invitation, instruction, or institutional role, you are also responsible for their compliance with these Terms. You agree that any User Material submitted through your account, or through workflows created by you, is your responsibility and not the responsibility of the Company.

You agree that you will not upload, submit, publish, distribute, or transmit any material that:

  1. is false, misleading, inaccurate, or intended to deceive
  2. promotes unlawful activity or violates any applicable law
  3. is defamatory, obscene, indecent, offensive, abusive, harassing, hateful, inflammatory, or otherwise objectionable
  4. promotes or depicts sexual content, violence, exploitation, discrimination, or harm on the basis of race, gender, religion, caste, nationality, disability, sexual orientation, or age
  5. infringes upon any intellectual property right, including copyright, trademark, trade secret, or patent
  6. violates privacy rights, publicity rights, or any other legal rights of an individual
  7. contains content that could lead to civil or criminal liability under applicable law or institutional rules
  8. impersonates any person or misrepresents your identity, affiliation, or authority
  9. violates these Terms, institutional policies, or the Privacy Policy

You further agree that you will not, and will not permit others to:

  1. upload or distribute viruses, malware, spyware, worms, corrupted files, or any harmful code
  2. use the Services to harm, harass, abuse, defame, stalk, threaten, intimidate, or discriminate against any person
  3. interfere with, disrupt, damage, overload, or impair the functioning of the Products or the ability of others to use them
  4. reverse engineer, decompile, disassemble, copy, modify, or create derivative works from any part of the Services, except where permitted by law
  5. use scripts, bots, crawlers, scrapers, or automated tools to access or extract data from the Services
  6. request, encourage, or assist another user to violate these Terms
  7. use the Services for fraudulent, unauthorised, harmful, or unlawful purposes
  8. exploit, endanger, or attempt to endanger minors in any manner
  9. send unsolicited messages, promotional material, spam, chain letters, or advertising without written permission
  10. engage in conduct that may harm the Company, users, institutions, or expose them to legal liability


Messages and Communication 
If the Services allow messaging or communication features, you are responsible for all messages you send. You agree not to send messages that violate these Terms, including harassment, threats, profanity, sexually explicit communication, or discriminatory remarks.

Restrictions on Sensitive Data
Unless explicitly permitted by the applicable Product, you may not enter sensitive or special category personal data into free text fields, messaging features, or areas of the platform not designated for such data. This includes information such as medical details, social or behavioural notes, financial information, political opinions, caste related data, or similar categories. For questions regarding sensitive data processing, refer to the Privacy Policy or contact admin@bodhiverse.co.in.

Reporting Violations
If you come across material, behaviour, or activity that appears unlawful, abusive, or in violation of these Terms, you must report it to the Company. The Company reserves the right to remove or restrict any content that it considers non compliant, harmful, or inappropriate. The Company may act without prior notice and at its sole discretion in order to protect users, institutions, and the integrity of the Services.

Warranty

Your use of any BodhiVerse Product or Service is entirely at your own risk. All Products, Services, features, content, and materials made available by the Company are provided on an “as is” and “as available” basis. The Company makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise.

Without limiting the generality of the foregoing, the Company does not warrant that:

  1. the Products or Services will be accurate, complete, reliable, error free, or uninterrupted
  2. the Products or Services will meet your requirements, expectations, or institutional needs
  3. the Products or Services will operate without delays, disruptions, failures, or loss of data
  4. the servers or systems used to deliver the Services are free from viruses, malware, harmful code, or other security threats
  5. the results, reports, or outputs generated through the Services will be precise or suitable for any specific purpose

To the fullest extent permitted by applicable law, the Company disclaims all warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, non infringement, title, and quiet enjoyment.
Nothing in this section affects any warranty or right that cannot be lawfully excluded under applicable law.

Internet Connection and Technical Environment

The Services provided by the company operate through cloud based infrastructure and require a stable internet connection, compatible devices, and supported software environments. Access to the Services depends on several technical factors outside the control of the Company, including, but not limited to, internet availability, network performance, device configuration, operating system compatibility, firewall settings, and third party service uptime.

You acknowledge and accept that interruptions, delays, reduced performance, or temporary unavailability of the Services may occur due to maintenance activities, upgrades, network congestion, service provider disruptions, force majeure events, or other circumstances beyond the Company’s control. The Company is not responsible for such interruptions or for any resulting loss, delay, or inconvenience.

You are solely responsible for ensuring that your device, network connection, browser settings, operating system, and security configurations meet the technical requirements for using the Services. You are also responsible for any costs or charges associated with accessing the Services, including data usage, internet fees, roaming charges, and equipment costs.

The Company does not guarantee that the Services will function on all devices, operating systems, or networks, and does not assume responsibility for any malfunction caused by user technology, local infrastructure, or third party systems.

Intellectual Property Rights and User Material

7.1 Ownership of the Platform, Products, and Services

You acknowledge that all BodhiVerse Products and Services contain content, software, data, designs, interfaces, text, graphics, images, audio, video, databases, compilations, arrangements, and other materials that are protected by copyright, trademark, trade secret, and other intellectual property laws. All rights, title, and interest in and to the Products and Services, including all associated intellectual property rights, are owned exclusively by the company or its licensors.

Nothing in these Terms transfers any ownership rights to you. Your access is limited strictly to the licence granted in these Terms. The Company may suspend or terminate your access to the Services if you infringe or attempt to infringe any intellectual property right belonging to the Company or its licensors.

You agree to respect all intellectual property rights displayed on or accessible through the Services, including trademarks, logos, brand names, proprietary designs, and database compilations.

Unless expressly permitted under these Terms or under mandatory law, you may not:

  1. copy, reproduce, adapt, modify, translate, or create derivative works from the Products or Services
  2. remove or alter any copyright notices, trademark notices, or proprietary labels
  3. use any images, graphics, audio, video, or other media separately from the context in which it appears
  4. distribute, publish, or make available any part of the Products or Services to third parties

Your licence grants you limited access solely for authorised use and does not grant any rights beyond those stated here.

7.2 User Material

You may upload, submit, or create User Material through the Services, including text, data, assessments, assignments, questions, images, exercises, forms, attendance workflows, and other content. User Material remains your property or the property of the rightful owner. The Company does not claim ownership over User Material.

By uploading or submitting User Material, you represent and warrant that:

  1. you have all necessary rights, permissions, and licences to upload and use the User Material
  2. the User Material does not infringe any intellectual property rights, privacy rights, or other legal rights of any third party
  3. the User Material complies with these Terms, institutional policies, and applicable law

You grant the Company a limited, non exclusive licence to store, process, reproduce, transmit, display, and use the User Material solely for the purpose of operating, delivering, and improving the Services. This licence ends when the User Material is removed from the Services, except where retention is required by law or institutional agreement.

If any User Material is found to violate intellectual property rights or legal obligations, you agree to remove such material immediately and assume full responsibility for any resulting claims, damages, or liabilities. The Company will not be liable for any infringement caused by your User Material.

7.3 Prohibited Content and Sensitive Data Restrictions

You agree not to upload sensitive personal data or special category data into free text fields or areas of the Services not designated for such information. This includes, but is not limited to, medical details, social or behavioural notes, financial information, caste related information, political opinions, or any other sensitive categories detailed in applicable privacy laws.

Confidential institutional documents, answer keys, exam papers, or other protected content must only be uploaded where explicitly permitted by institutional policy and by the Product’s intended use.

7.4 Company Rights Over User Material

The Company reserves the right, but is not obligated, to review User Material. The Company may remove or restrict access to any User Material that:

  1. violates these Terms
  2. infringes intellectual property rights or privacy rights
  3. poses security, legal, operational, or reputational risks
  4. is harmful, inappropriate, or inconsistent with the intended use of the Services
    is requested to be removed by the User’s institution or by law enforcement

The Company may disclose personal information or User Material if required by law, court order, regulatory directive, or valid institutional request. The Company may also cooperate fully with law enforcement agencies during investigations involving User Material.

You waive any claims against the Company and its affiliates arising from actions taken in good faith during investigations or for the removal, restriction, or disclosure of material that violates these Terms or applicable laws.

Limitation of Liability

To the fullest extent permitted by applicable law, the Company, its directors, officers, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages arising out of or related to your access to or use of the Products or Services. This includes, without limitation, loss of data, loss of profits, loss of business, loss of goodwill, service interruption, device damage, network failure, or any damages resulting from system errors, technical malfunctions, or reliance on any content or output generated through the Services.

The Company is not responsible for:

  1. any failure of your device, browser, operating system, internet connection, network configuration, or third party systems
  2. loss, corruption, or inaccuracy of User Material submitted by you or by others
  3. unauthorised access to your account resulting from your failure to safeguard credentials
  4. actions or omissions of institutions, administrators, instructors, or other Users
  5. delays, interruptions, or unavailability of the Services caused by maintenance, upgrades, or circumstances beyond the Company’s control
  6. the conduct or content of any third party, including other Users

In all cases and under any legal theory, the maximum aggregate liability of the Company for any claim arising out of or relating to the Services shall not exceed the total amount paid by you, or by your institution on your behalf, for access to the relevant Service during the six (6) month period preceding the event giving rise to the claim. If no payment has been made for the use of the Services, the Company’s maximum liability shall be limited to five hundred Indian rupees.

No action, regardless of form, arising from or relating to the use of the Services may be brought by you more than one year after the cause of action first arose.

Nothing in this section limits or excludes liability that cannot be limited or excluded under applicable law.

Injunctive Relief

You acknowledge that any breach or threatened breach of these Terms of Use, including but not limited to violations involving intellectual property rights, confidentiality obligations, misuse of the Services, unauthorised access, or interference with system security, may cause the Company immediate and irreparable harm for which monetary damages may be inadequate.

In such circumstances, the Company shall be entitled to seek temporary, interim, or permanent injunctive relief, specific performance, restraining orders, or any other equitable remedy from any court of competent jurisdiction, without the requirement to demonstrate actual damages, prove irreparable injury, or furnish any bond or security.

You agree that such remedies are in addition to, and not in limitation of, any other rights or remedies available to the Company under law, equity, or contract.

Indemnification

You agree to indemnify, defend, and hold harmless BodhiVerse Pvt Ltd, its directors, officers, employees, agents, licensors, and service providers from and against any claims, demands, actions, proceedings, losses, damages, liabilities, penalties, fines, costs, and expenses, including reasonable attorney fees and accounting fees, arising out of or relating to:

  1. your use or misuse of the Products or Services
  2. your violation of these Terms of Use or any applicable law
  3. your infringement of any intellectual property right, privacy right, or other legal right of a third party
  4. User Material submitted, uploaded, transmitted, or processed through your account
  5. any unauthorised access to or use of your account by a third party resulting from your failure to safeguard your credentials
  6. any actions taken by the Company in good faith during its investigation of suspected violations or in connection with law enforcement requests

You agree that the Company shall have the right to assume the exclusive defence and control of any claim subject to indemnification under this section. You agree to cooperate fully with the Company in the defence of any such claim.

Your indemnification obligations will survive termination of your account, discontinuation of the Services, or the expiration of these Terms.

Change of Terms and Termination of the Services

The Company may update, revise, or modify these Terms of Use at any time. Any material changes will be communicated through product interfaces, email notifications, website postings, or any other reasonable method. Continued access to or use of the Services after such changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue use of the Services immediately.

The Company may modify, suspend, limit, or discontinue any Product or Service, in whole or in part, at its discretion. While reasonable notice will be provided where practicable, circumstances such as security concerns, legal requirements, or technical issues may require immediate action without prior notice.

The Company may suspend or terminate your access to the Services if:

  1. you violate these Terms of Use or any applicable law
  2. you misuse, interfere with, or attempt to compromise the integrity or security of the Services
  3. your institution requests termination or revokes your authorisation
  4. the Company believes that your continued use presents a risk to the platform, users, or Company operations
  5. required by a court order, regulatory directive, or law enforcement authority

Upon termination, your right to access or use the Services ends immediately. Termination does not affect the validity of any obligations that, by their nature, are intended to survive termination, including confidentiality, indemnification, intellectual property restrictions, and limitation of liability.

If your account is closed or access is terminated, User Material belonging to your institution or required for legal, academic, or administrative retention will not be deleted unless instructed by the institution or required by law.

The Company is not liable for any loss, damage, or inconvenience caused by modification, suspension, or termination of the Services.

Transfer of This Agreement

The Company may assign, transfer, or delegate its rights and obligations under these Terms of Use, in whole or in part, to any affiliate, successor entity, or third party in connection with a merger, acquisition, restructuring, reorganisation, sale of assets, or any similar transaction. Such transfer may occur without the need for obtaining your prior consent. Where required by applicable law, you will be notified of such transfer through reasonable means.

You may not assign, transfer, or sub-license your rights or obligations under these Terms to any other person or entity without the prior written consent of the Company. Any attempted assignment or transfer by you without such consent shall be void.

These Terms shall be binding upon and inure to the benefit of the Company, its successors, permitted assigns, and any entity to which rights or responsibilities are lawfully transferred.

Governing Law and Jurisdiction

These Terms of Use shall be governed by and interpreted in accordance with the laws of India, without giving effect to any principles of conflict of laws. Any dispute, claim, or controversy arising out of or relating to these Terms, the Products, the Services, or any related transaction shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

You agree that such courts shall have personal and subject matter jurisdiction over any dispute involving the Company, and you consent to the exercise of such jurisdiction. You further agree that any claim must be brought in your individual capacity and not as part of any class action or representative proceeding.

Nothing in this section prevents the Company from seeking injunctive, equitable, or emergency relief in any jurisdiction necessary to protect its intellectual property rights or enforce these Terms.

Entire Agreement

These Terms of Use, together with the Privacy Policy and any additional terms or product specific agreements expressly referenced or incorporated herein, constitute the entire agreement between you and the Company regarding the access to and use of the Products and Services. They supersede all prior or contemporaneous understandings, agreements, representations, or communications, whether written or oral, relating to the same subject matter. No statement, promise, or representation not included in these Terms shall be binding on the Company unless expressly agreed to in writing by an authorised representative of the Company.
